1. Agreement to Terms

By accessing our website (vuelance.com) or using any of our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use our website or services. These Terms apply to all visitors, users, and clients.

2. Description of Services

Vuelance ("we", "us", "our") provides a comprehensive suite of technology services, including but not limited to business consulting, UI/UX design, software development, quality assurance, DevOps, data services, and AI solutions, guided by our "Architect, Accelerate, Evolve" methodology. The specific scope of services for any client will be detailed in a separate Statement of Work (SOW) or Client Agreement.

3. User and Client Obligations

As a user or client, you agree to:

• Provide accurate, complete, and current information when requested.
• Use our services and website for lawful purposes only.
• Be responsible for any materials, data, or information you provide to us ("Client Content").
• Not misuse, disrupt, or attempt to gain unauthorized access to our website or systems.

4. Intellectual Property Rights

A. Our Content:

All content on our website, including text, graphics, logos, and software, is the property of Vuelance or its licensors and is protected by copyright and other intellectual property laws. You may not use our content without our prior written consent.

B. Client Content:

You retain all ownership rights to the Client Content you provide to us. You grant Vuelance a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the Client Content solely for the purpose of providing our services to you.

C. Work Product:

Upon full and final payment for the services rendered under a specific SOW, Vuelance grants to the client all rights, title, and interest in the final, delivered software or "Work Product." Vuelance retains the right to use the Work Product in its portfolio and to reuse underlying tools, methods, and non-proprietary code.

5. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential. Vuelance will not disclose any confidential Client Content to third parties, except as necessary to provide the services (e.g., to subcontractors or service providers who are also bound by confidentiality obligations).

6. Fees and Payment

Fees for our services will be outlined in a specific SOW or Client Agreement. Invoices are due upon receipt unless otherwise specified. We reserve the right to suspend or terminate services for failure to pay invoices in a timely manner.

7. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without any warranties of any kind, either express or implied. While we strive for excellence, we do not warrant that the services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

To the fullest extent permitted by law, Vuelance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our services. In no event shall our aggregate liability for all claims related to the services exceed the total amount paid by you to us in the six (6) months prior to the claim.

9. Termination

Either party may terminate a service agreement with written notice as specified in the SOW. Upon termination, the client is obligated to pay for all work performed up to the termination date. Sections concerning confidentiality, intellectual property, and limitation of liability shall survive termination.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Kerala, India without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
